[802SEC] LMSC Response to Audit Committee

Dear Ron and Audit Committee Members,

Please see the attached letter in response to the IEEE Board of Directors Audit Committee 30JAN2007 letter on financial best practices.  The text was unanimously (15/0/0) approved by the LMSC Executive Committee at it's 16 March 2007 closing meeting.  Please confirm the letter adequately addresses your concerns.
